LEGAL / TERMS
Terms of Service
The terms that apply when you use the Tupile website or engage us to design, build or run software.
Agreement
By using our website or engaging Tupile, you agree to these terms. Client projects are governed by these terms together with a written statement of work. If the two conflict, the statement of work prevails.
Services and scope
Each engagement is defined by a statement of work that sets out deliverables, timeline, team and acceptance criteria. Changes to scope are agreed in writing and may change the fees and timeline.
Fees and payment
Fees, milestones and expenses are set out in the statement of work. Invoices are payable within [30] days of issue. Late amounts may accrue interest at the rate permitted by law.
Intellectual property
On full payment, you own the custom code and deliverables we create for you. We keep ownership of our pre-existing tools, libraries and know-how, and grant you a licence to use them as part of the deliverables. Open-source components remain under their own licences.
Confidentiality
Each party will keep the other’s non-public information confidential, use it only for the engagement and protect it with reasonable care. This duty continues for [3] years after the engagement ends.
Warranties and disclaimer
We will perform the services with professional skill and care and will fix defects reported within [60] days of acceptance. Except as stated here, services and the website are provided “as is” without other warranties.
Limitation of liability
To the extent the law allows, neither party is liable for indirect or consequential loss, and our total liability is limited to the fees paid for the services giving rise to the claim.
Termination
Either party may end an engagement with [30] days’ written notice, or immediately for material breach that remains unresolved after notice. You will pay for work completed up to the termination date.
Governing law
These terms are governed by the laws of [jurisdiction], and its courts have exclusive jurisdiction over disputes. We may update these terms and will change the date above when we do.
